Terms of Service

1. Introduction and Acceptance of Terms

Welcome to Dosido, a music collaboration and project management platform operated by Vibular Tech Records LLC ("Dosido," "we," "us," or "our"), a New Hampshire limited liability company. Dosido provides tools for musicians, producers, and creative teams to store, share, and collaborate on audio files, stems, project files, and related creative work.

These Terms of Service ("Terms") govern your access to and use of the Dosido platform, including our website, mobile applications, desktop applications, and any related services (collectively, the "Services"). By creating an account, accessing the Services, or clicking "I Agree," you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

If you do not agree to these Terms, you may not use the Services.

IMPORTANT NOTICE: These Terms contain an agreement to arbitrate disputes, a class action waiver, and other provisions that affect your legal rights. Please read Section 14 carefully.

2. Eligibility

You must be at least 13 years old to use the Services. If you are between 13 and 17 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Services, you represent and warrant that:

  • You meet the minimum age requirement described above;
  • You have the legal capacity to enter into a binding agreement;
  • You are not prohibited from using the Services under applicable law; and
  • All information you provide to us is accurate, current, and complete.

We reserve the right to terminate or suspend accounts where we have reason to believe eligibility requirements have not been met.

3. Account Registration and Security

To access most features of the Services, you must register for an account. When creating your account, you agree to:

  • Provide accurate, current, and complete registration information;
  • Maintain and promptly update your account information to keep it accurate;
  • Keep your password and login credentials confidential; and
  • Notify us immediately at [email protected] if you suspect unauthorized access to your account.

You are solely responsible for all activity that occurs under your account, whether or not authorized by you. Dosido will not be liable for any loss or damage arising from your failure to maintain the confidentiality of your credentials.

You may not share your account credentials with any other person or entity. Each account may only be used by one individual. If you are using the Services on behalf of a band, team, or organization, you remain individually responsible for compliance with these Terms.

4. Your Content

4.1 Ownership

You retain full ownership of all audio files, stems, project files, messages, notes, and other materials you upload or create on the Services ("Your Content"). Dosido does not claim any ownership interest in Your Content.

4.2 License to Dosido

By uploading or sharing Your Content on the Services, you grant Dosido a limited, non-exclusive, worldwide, royalty-free license to store, reproduce, transmit, display, and process Your Content solely to the extent necessary to provide the Services to you and your collaborators. This license ends when you delete the content or close your account, subject to reasonable technical delays in deletion from backup systems.

4.3 Public Sharing

The Services allow you to designate content as either private (accessible only to you and invited collaborators) or public (accessible to any Dosido user or the general public). You are solely responsible for determining the appropriate visibility setting for Your Content. Once content is made public, other users may view, stream, or interact with it consistent with the permissions you set. Dosido does not guarantee that publicly shared content can be fully recalled after it has been accessed by others.

4.4 Your Responsibilities for Content

You represent and warrant that:

  • You own Your Content or have all necessary licenses, rights, consents, and permissions to upload and share it;
  • Your Content does not infringe the intellectual property rights, privacy rights, or other rights of any third party;
  • You have obtained all necessary permissions from any identifiable individuals whose name, voice, or likeness appears in Your Content;
  • Your Content does not violate any applicable law or regulation; and
  • Your Content complies with our Acceptable Use Policy (Section 5).

We are not responsible for Your Content. You bear all risk and liability for the content you upload, share, or otherwise make available through the Services.

5. Acceptable Use Policy

You agree not to use the Services to:

  • Upload, share, or transmit content that infringes any third-party copyright, trademark, patent, trade secret, or other intellectual property right;
  • Upload, share, or transmit content that is unlawful, defamatory, obscene, pornographic, harassing, threatening, or otherwise objectionable;
  • Publish or share content that constitutes child sexual abuse material or that sexually exploits or promotes the sexual exploitation of minors;
  • Harass, bully, intimidate, or harm any other user or Dosido personnel;
  • Advocate hatred or discrimination against any person or group based on race, ethnicity, religion, gender, gender identity, sexual orientation, disability, or any other protected characteristic;
  • Probe, scan, or test the vulnerability of any Dosido system or network;
  • Circumvent or attempt to circumvent any security or authentication measures;
  • Access, scrape, or harvest data from the Services using automated means without our express written consent;
  • Send unsolicited communications, spam, or promotional messages to other users;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Upload or transmit viruses, malware, or any other harmful or disruptive code;
  • Use the Services as a general cloud backup or storage infrastructure for purposes unrelated to music creation and collaboration;
  • Sell, resell, or sublicense access to the Services without our express written authorization; or
  • Violate any applicable local, state, national, or international law or regulation.

We reserve the right to remove or disable access to content, suspend, or terminate accounts that violate this Acceptable Use Policy, without prior notice where we determine it is necessary to protect the Services or other users.

6. Collaboration Features

Dosido's core purpose is to enable creative collaboration between musicians and producers. When you invite collaborators to a project, you are granting them access to view, comment on, and (depending on the permissions you set) edit or download the content you have shared with them. You are responsible for managing your collaborator permissions and for any content shared within your projects.

Dosido is not a party to any agreements, arrangements, or disputes between collaborators regarding ownership of musical works, authorship credits, royalty splits, or any other rights in content created using the Services. Any such arrangements are solely between the users involved. We strongly encourage collaborators to document their agreements in writing outside of the Dosido platform.

We are not responsible for unauthorized access to your projects resulting from your sharing of credentials or collaboration links. Always use the platform's built-in permission controls to manage access.

7. Dosido Intellectual Property

The Services, including all software, algorithms, designs, text, graphics, logos, user interfaces, and other materials developed by Dosido (collectively, "Dosido IP"), are owned by or licensed to Vibular Tech Records LLC and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in Dosido IP beyond the limited license to use the Services set forth herein.

You may not reproduce, modify, distribute, publicly display, reverse engineer, decompile, or create derivative works from any part of the Dosido IP without our express prior written consent. The Dosido name, logo, and any associated marks may not be used without our permission.

We welcome your feedback and suggestions. By providing us with feedback, ideas, or suggestions about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback into the Services without any obligation or compensation to you.

Dosido respects the intellectual property rights of others and expects users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 ("DMCA"), we will respond promptly to valid notices of copyright infringement.

To submit a DMCA Notice of Alleged Infringement, please provide our Designated Copyright Agent with all of the following:

  • A description of the copyrighted work you claim has been infringed;
  • The URL or specific location on the Services where the allegedly infringing material can be found;
  • Your full name, mailing address, telephone number, and email address;
  • A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law;
  • A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner; and
  • Your electronic or physical signature.

We reserve the right to terminate the accounts of users who are repeat infringers. If you believe your content was wrongly removed, you may submit a counter-notification in accordance with the DMCA.

9. Free and Paid Accounts; Billing

9.1 Free Tier

Dosido offers a free tier with limited storage and features. We reserve the right to modify, limit, or discontinue the free tier at any time with reasonable notice to affected users.

9.2 Paid Subscriptions

Paid subscription plans provide access to additional storage, features, and functionality. By upgrading to a paid plan, you authorize us to charge your designated payment method on a recurring basis at the then-current subscription rate for your chosen plan and billing cycle.

9.3 Automatic Renewal

IMPORTANT: YOUR PAID SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD AT THE THEN-CURRENT RATE UNLESS YOU CANCEL BEFORE THE RENEWAL DATE. You may cancel at any time by visiting your account settings or contacting us at [email protected].

9.4 Cancellation and Refunds

You may cancel your paid subscription at any time. Cancellation takes effect at the end of your current billing period; you will not receive a prorated refund for unused time in the current period except where required by applicable law. If we discontinue the Services or materially downgrade your plan without adequate notice, we will provide a prorated refund for the remaining prepaid period.

9.5 Price Changes

We may change subscription fees at any time. We will notify you at least 30 days before any price increase takes effect. Your continued use of the paid Services after the price change becomes effective constitutes your acceptance of the new rate. If you do not agree to the new rate, you must cancel your subscription before the change takes effect.

9.6 Taxes

All fees are exclusive of applicable taxes. You are responsible for all taxes associated with your use of the Services, and we will collect taxes where we are required to do so by law.

10. Privacy

Your privacy is important to us. Our Privacy Policy, incorporated into these Terms by reference, describes how we collect, use, and share your personal information when you use the Services. By using Dosido, you agree to the collection and use of your data as described in our Privacy Policy.

Because Dosido operates in California, we comply with the California Consumer Privacy Act (CCPA) with respect to California residents. Please see our Privacy Policy for details on your rights under the CCPA.

11. Artificial Intelligence Features

Dosido may, now or in the future, offer features that use artificial intelligence or machine learning technology ("AI Features") to assist with tasks such as audio analysis, tagging, organization suggestions, or other creative tools. The following terms apply to any AI Features we offer:

  • AI Features are provided as-is and for informational or creative assistance purposes only. AI-generated output may not always be accurate, unique, or free from errors.
  • The copyright status of AI-generated content is an evolving area of law, and we make no representations regarding the intellectual property status of any AI-generated output.
  • You are solely responsible for reviewing, verifying, and taking responsibility for any AI-generated output before you rely on or publish it.
  • You may not use AI Features to build or train competing AI models, to generate content that violates these Terms or applicable law, or to falsely represent AI-generated content as entirely human-created.
  • We may use your input and output data in connection with AI Features to improve and develop the Services, subject to our Privacy Policy.

We will update these Terms or provide supplemental terms before introducing any AI Features that materially affect your rights or data.

12. Third-Party Services and Integrations

The Services may allow you to connect or integrate with third-party services, applications, or platforms ("Third-Party Services"). Any use of Third-Party Services is at your own risk and subject to the terms and privacy policies of those third parties. Dosido is not responsible for the content, practices, or availability of any Third-Party Services.

If you connect a Third-Party Service to your Dosido account, you authorize Dosido to exchange information with that third party to the extent necessary to provide the integration. You can revoke these connections at any time through your account settings.

13. Disclaimers and Limitation of Liability

13.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, DOSIDO AND VIBULAR TECH RECORDS LLC DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

13.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DOSIDO AND VIBULAR TECH RECORDS LLC, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF CREATIVE WORK, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) $20.00 USD OR (B) THE TOTAL AMOUNT YOU PAID TO DOSIDO IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you to the extent prohibited by applicable law.

13.3 Indemnification

You agree to defend, indemnify, and hold harmless Dosido, Vibular Tech Records LLC, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) Your Content; (b) your use of the Services; (c) your violation of these Terms; or (d) your violation of any rights of another person or entity.

14. Dispute Resolution; Arbitration

14.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute informally by contacting you via the email address associated with your account. If the dispute is not resolved within 30 days of submission, either party may proceed to formal dispute resolution as set forth below.

14.2 Agreement to Arbitrate (U.S. Users)

If you are a U.S. resident, you and Dosido agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through final and binding arbitration, rather than in court, except as set forth in Section 14.4. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

14.3 Arbitration Procedure

Arbitration will be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and, where applicable, its Consumer-Related Disputes Supplementary Procedures. Arbitration may be conducted in person, by telephone, or based on written submissions. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.4 Exceptions to Arbitration

Either party may bring a claim in small claims court if the claim qualifies. Either party may also seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent unauthorized use, abuse, or infringement of intellectual property rights without first engaging in arbitration.

14.5 No Class Actions

YOU AND DOSIDO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Class arbitrations, class actions, and consolidation with other arbitrations are not permitted.

14.6 Opt-Out

You may opt out of the agreement to arbitrate by emailing [email protected] within 30 days of first creating your Dosido account with the subject line "Arbitration Opt-Out" and your name and account email address. If you opt out, disputes will be resolved in court as set forth in Section 14.7.

14.7 Governing Law and Venue

These Terms are governed by and construed under the laws of the State of New Hampshire, without regard to its conflict of laws principles. For any dispute not subject to arbitration, you and Dosido consent to exclusive jurisdiction and venue in the state and federal courts located in New Hampshire. Notwithstanding the foregoing, users who are consumers residing in California retain any mandatory rights afforded to them under California law.

15. Term and Termination

These Terms remain in effect as long as you have an active Dosido account or continue to use the Services.

15.1 Termination by You

You may stop using the Services and delete your account at any time through your account settings or by contacting us at [email protected].

15.2 Termination by Dosido

We may suspend or terminate your access to the Services, with or without notice, if:

  • You are in material breach of these Terms and fail to cure that breach within 10 days of notice;
  • Your use of the Services poses a risk of harm to Dosido, other users, or third parties;
  • You have a free account and have not accessed the Services for 12 consecutive months; or
  • We are required to do so by law.

Where practical and not prohibited by law, we will provide reasonable advance notice before termination and an opportunity to export Your Content from the Services.

15.3 Effect of Termination

Upon termination, your right to access and use the Services ceases immediately. We will delete Your Content within a commercially reasonable period following account closure. Sections 4.1, 7, 8, 13, 14, and 16 survive termination.

16. General Provisions

16.1 Modifications to Terms

We may revise these Terms from time to time. For material changes, we will notify you by email at least 30 days before the change takes effect. Non-material changes will be posted to our website. Your continued use of the Services after the effective date of any revision constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Services and cancel your account.

16.2 Entire Agreement

These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Dosido with respect to the Services and supersede all prior agreements, representations, and understandings.

16.3 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable and will not affect the validity or enforceability of the remaining provisions.

16.4 Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.

16.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms, including in connection with a merger, acquisition, or sale of substantially all of our assets, without your consent.

16.6 Force Majeure

Neither party will be liable for failure or delay in performance to the extent caused by circumstances beyond their reasonable control, including natural disasters, acts of government, internet outages, or other events outside a party's reasonable control.
